The terms that apply when you use this site, ask us for a quote, or engage us on a project.

Who these terms are with
These terms govern your use of thearchivesoftware.com and any quote or proposal you request through it. The site is operated by The Archive Software.
By using the site you accept these terms. If you do not accept them, please do not use the site.
Using the site
You may read this site, share links to it, and contact us through it. You may not copy its design, code, or written content for use in another product or site.
You may not attempt to gain unauthorised access to any part of the site or its underlying systems, submit automated or bulk enquiries, or use the site to send unlawful, misleading, or abusive content.
Quotes and proposals
Nothing on this site is a binding offer. Prices, timelines, and service descriptions are indicative until we issue a written proposal for your specific project.
A written proposal sets out the scope, the fixed price, the payment schedule, and the timeline. It becomes binding once you accept it in writing. Where a proposal and these terms conflict, the proposal wins for that project.
A proposal is open for acceptance for the period stated on it. After that we may reissue it at a different price.
Changes to scope
The fixed price covers the scope in the accepted proposal. If you ask for something outside that scope, we will quote it separately and wait for your written approval before building it.
If a change is needed because information given to us at the start turns out to be incomplete or inaccurate, we will tell you what it affects and what it costs before continuing.
What we need from you
Projects run to schedule when content, approvals, and access arrive when agreed. We will tell you what is needed and when.
You confirm that any text, logos, images, or data you supply are yours to use, and that our using them in your project will not infringe anyone else’s rights.
Ownership of what we build
The code, design, and content we produce for your project transfer to you on receipt of final payment. Until then we retain ownership of the work in progress.
We keep ownership of our own pre-existing tools, libraries, and internal components, and grant you a perpetual, non-exclusive licence to use them as part of your project.
Third-party software, fonts, and services used in your project remain under their own licences, which we will identify at handover.
Unless you ask us in writing not to, we may name you as a client and show the work in our portfolio.
Payment
Invoices are payable on the schedule set out in the accepted proposal. Where a project is staged, work on the next stage begins once the previous stage is paid.
Support after launch
Every project includes a support window after launch, stated in the proposal, covering defects in what we built.
Work outside that window, and any new feature, is covered by a separate care plan or quoted as new work.
Third-party services
Projects often depend on services we do not control, such as hosting, payment processing, scheduling, and email delivery. Those services are governed by their own terms, and we are not responsible for their availability, pricing, or changes to their platforms.
Site content is provided as is
We keep the information on this site accurate and current, but we do not warrant that it is complete or error-free, and nothing here is professional advice on your specific situation.
Results shown on this site describe outcomes for particular clients in particular circumstances. They are not a promise of the same result for your business.
Limitation of liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
Subject to that, our total liability arising out of a project is limited to the fees you paid us for that project, and we are not liable for lost profits, lost revenue, lost data, or indirect or consequential loss.
Ending a project
Either side may end a project in writing. If you end it, you pay for work completed and any non-refundable third-party costs already committed.
If we end it other than for your breach, we will refund fees paid for work not yet delivered and hand over what has been completed.
Governing law
These terms, and any dispute arising out of them, are governed by the laws of the United States and of the state in which The Archive Software is established, without regard to conflict-of-law principles.
The state and federal courts sitting in that state have exclusive jurisdiction over any dispute arising out of these terms, and both parties submit to that jurisdiction.
Changes to these terms
We may update these terms. The version in force for your project is the one published when you accepted the proposal. Changes affecting site use take effect when published on this page.
